INSUDPOWER LEGAL NOTICE

1. DESCRIPTION AND PURPOSE OF THE PROGRAMME
   • The "INSUDPOWER" programme (hereinafter, the "Programme"), organized by Insud Pharma, S.U. (hereinafter, the "Organiser" or "Insud Pharma"), with registered office at Manuel Pombo Angulo Street, 28 3ª floor, 28050 Madrid (Spain) and Tax Identification Number B-83628248, will be bound by these legal bases and conditions.
   • The goal of the Programme is to establish strong links with universities, start-ups and research centres to identify, develop and commercialize key innovative ideas that will improve people's lives. Detailed information of the Programme is available on the following website https://insudpower.com (hereinafter, the "Programme Website").
   • The Programme is open to all persons who wish to participate and comply with the conditions set out in these legal bases (hereinafter, the "Participants").
   • The Programme aims to support and develop innovative projects across all healthcare and pharmaceutical areas that can provide solutions to overcome current challenges in these areas, as well as provide innovative ideas with regard to patients’ treatment and drug development.
   • The Programme is open to the whole worldwide. Any Participant regardless of their geographical location can take part in the Programme.
2. PROGRAMME PERIOD:
   • The Programme will take place between May of 2024, and September of 2024 (both included). The specific starting and closing dates will be detailed on the Programme Website. Nevertheless, the closing date may be extended from four (4) to eight (8) weeks after the end of the Programme to fulfil the prize-giving process.
   • The key phases and dates of the Programme are the following:

• Scouting Ideas: Between May 2024 and June 2024.
• Selection of Ideas: July 2024
• Pitch Day: September 2024.
  • The Organiser reserves the right to extend or modify any or all of the previous dates if it considers it is necessary for the correct development of the Programme. Any modification on said dates will be duly informed to the Participants.
  • The presentation of the pre-selected projects will take place in September 2024, on the "Pitch Day". The specific date of the "Pitch Day" will be duly informed to the Participants and published, together with any other information that may be of their interest, on the Programme Website.
  • Participants who wish to take part must comply with the Programme schedule and these legal bases. Inscriptions received before starting the Programme or once it is finished will not be considered even if the inscription form is available.

3. FREE OF CHARGE
   • Participation in the Programme is free of charge, with no additional fee or amount to be paid by Participants. Participants must only comply with the requirements and participation mechanic set out in these legal bases.
4. PRIZE
   • The winner will be awarded with a prize of ten thousand euros (10,000 €)
   • Shortlisted projects may also be eligible for additional support such as mentoring, assistance with patent applications, direct investment or internal development in collaboration with Insud Pharma. These awards will be at the sole discretion of the Organiser, and the Programme can be finished without having awarded these or similar prizes to those shortlisted projects.
5. PARTICIPATION MECHANIC

Participation in the Programme is free, voluntary and requires the observance and fulfillment of the requirements related below. In particular, Participants must consider the following rules:

• Participation requires the prior registration at https://insudpower.com
• Each Participant may submit a maximum of three (3) projects.
• Both individual and joint applications by a group of participants are admitted. However, no more than one (1) Participant registered with the same ID, passport, or similar ID card, even if their e-mail address is different, will be accepted. The Organiser reserves the right to verify Participants’ identity to ensure these requirements are met.
• A maximum of ten (10) projects can be selected by the Organiser. Those ten (10) projects will be presented to the Programme’s panel of expert on Pitch Day.
• The Pitch Day will be held “In person”. However, Participants will have the possibility to attend remotely by virtual means. There will be no differentiation between those who attend in person and those who attend remotely.
• The winners will be selected on the basis of the innovation and ability to provide solutions to existing challenges in the pharmaceutical and scientific research area.
• Winners will be selected within four (4) to eight (6) weeks after the end of the Programme and once the presentation to the panel of expert is ended.
• The winner will be awarded with a prize of ten thousand euros (10,000 €)
• The Organiser will contact the winner by email to inform that they pass to the final state and to organize the delivery of the prize. Identity of the winner and the winning project will be published on the Programme Website, in digital and/or paper means and any other support or media of the Programme to publish the result of the Programme. Personal data nor identity of the other Participants will be disclosed or published in any document or media.

6. GENERAL CONDITIONS FOR PARTICIPATION
   • Participation is open to all legal entities and natural persons over 18 years, either as individuals or as members of an entity or organization, such as companies, universities, research centers, etc.
   • The Programme is open to all Participants regardless their country or nationality. All Participants can be selected and winners provided that these legal bases are met, and the project can be developed in accordance with the regulations in force.
   • In the case of joint application by a group of Participants, they must appoint a “lead participant” to register himself and represent them in the Programme. Individual register of each joint Participants is not required, but only the register of the “lead participant”. However, all the Participants will be jointly responsible and must fulfil and respect the conditions set out int these legal bases. Applications must be submitted by the “lead participant”.
   • Each Participant may submit a maximum of three (3) projects. Participations from the same natural person or entity that exceed said maximum of three (3) projects will be rejected, as well as those that involve false data or data from individuals different from the Participant who did not authorize such processing.
   • Participation in the present Programme requires full acceptance and compliance with these legal bases. Participations that do not comply with the registration procedure, the requirements detailed on the Programme Website or those set out herein will be rejected.
   • The Organiser reserves the right to verify the compliance of these legal bases. Failure to comply will result in the automatic cancellation of the participation. Likewise, false declarations or suspicious of false identity or fraud will result in the cancellation of the Participant and, as the case may be, the obligation to return the prizes awarded.
   • Insud Pharma reserves the right to modify these legal bases and to adopt appropriate measures to solve any conflict or dispute that may arise during the Programme, provided that they are justified, communicated to Participants, and do not harm the Participants.
   • Insud Pharma reserves the right to justifiably remove from the Programme any Participant who defrauds, alters, disables the proper functioning and the normal and development of the Programme, or who could cause any damage to reputation of Insud Pharma.

7. COMMUNICATION OF THE WINNER AND DELIVERY OF PRIZES
   • The Organiser will contact the winner by email no later than two (2) weeks after the end of the Programme. In case of joint participation, the “lead participant” will be contacted.
   • Winners must confirm acceptance of the prize by email within seventy-two (78) hours after being contacted by the Organiser and must provide the required data in order to deliver the prize within ten (10) days after the winner's acceptance.
   • In case that the winner does not accept the prize, is ineligible, fails to comply with these legal bases or cannot be contacted, the prize will be forfeited, and an alternative winner will be selected. The same notification and acceptance process and deadlines will be followed with alternate winners selected. In the event that the alternate winner does not accept the prize within the above-mentioned deadlines or is illegible considering the previous criteria, the Organiser may declare the Programme terminated and the prize forfeited.
   • The prize shall be deemed to be accepted if, in the case of joint participations, the “lead participant” of the project agrees to it within the mentioned period.
   • The Organiser will publish the name of the winner, their projects and, in case of joint applications, the name of the group or company, in all materials and communication channels of the Programme (i.e. including website, digital or paper means, social networks.) Likewise, winners will also be published on the social media and communication means owned by Insud Pharma as Organiser.
   • The prizes awarded will not be in any case subject to change, alteration or compensation. Should the winners decline the prize, no alternative prize will be offered.
   • The prizes will be subject to the any and all local, national, international tax regulations in force, which shall be the sole responsibility of the winner. The prize money will be paid to the participant or “lead participant” in one instalment by bank transfer after the end of the Programme.
8. INTELLECTUAL PROPERTY
   • By participating in the Programme and accepting these legal bases, the Participants authorize the Organiser to reproduce, distribute, make available to the public, communicate to the public the work submitted, the name, images or other information related to the project through any support or platform (digital and electronic means), throughout the world and during the time allowed by the applicable legislation for informative purposes related to the Programme.
   • The Participants or, where appropriate, the authors of the participating projects will continue to be the owners of their intellectual property rights that may derive from them and will maintain the exploitation rights over their projects. Insud Pharma undertakes to safeguard these rights and not to make any use of the projects submitted that violates the provisions of these rules.
   • The Participant declares under his/her sole responsibility that the participating projects, ideas and material submitted to the Programme do not have any exclusive right or protection of third parties that prevent or may impair Insud Pharma or otherwise lead to non-compliance of these legal bases. The Participants guarantee they own the intellectual rights of projects submitted or, if applicable, hold all necessary authorisation from the author to participate in the Programme. By virtue of this, the Participant agrees to keep Insud Pharma unwarranted with respect to any cost, expenses, claims, obligations or damages that may be derived from actions of third parties before Insud Pharma to understand violated such intellectual rights.
   • Insud Pharma reserves the right to verify the participating projects submitted and disqualify those that do not comply with these legal bases set out herein, may be offensive or infringe any intellectual property rights of third parties, or otherwise contain information that may not be appropriate or ethic.
9. PERSONAL DATA PROTECTION
   • By registering and participating in the Programme the Participants undertake to provide true, accurate and up-to-date personal data. False or inaccurate information, or false profiles may entitle Insud Pharma to disqualify the Participant. Participants undertake to communicate any changes to their personal data in order to keep them up to date. the Participants, or the participant who submit the registration, undertake to inform their group members or third persons whose personal data are provided though the register or within the participation in the Programme regarding the processing of their personal data and the features mentioned herein. Participants will hold Insud Pharma harmless from any claim or liability that may arise from the processing of such information.
   • Personal data provided during the Programme will be processed by Insud Pharma, as data controller, in compliance with the applicable data protection laws and, in particular, the General (EU) 2016/679 Data Protection Regulation (the "GDPR"), the Spanish Organic Law 3/2018 on Personal Data Protection and guarantee of digital rights (the "LOPDGDD"), as well as the applicable regulations on commercial communications and information society services.
   • Personal data provided through the registration form and within the framework of the Programme will be processed by Insud Pharma for the purpose of managing their application and participation in the Programme, as well as contacting them in case of being winner for the correct development of the Programme. Participants’ personal data may be communicated to other entities of the Insud Pharma group to the extent it is necessary for the development of the Programme. No further communications or international transfers are foreseen unless required by law or being necessary for the execution of the Programme. The legal basis for this data processing is the execution of the present legal bases prior accepted by the Participants by voluntarily filling their application and submitting the registration form, as well as the compliance with any legal obligations to which Insud Pharma may be subject. Fields marked with an asterisk (*) in the registration form are mandatory. Failure to provide any of them may not make possible to register the participation application and fulfil mentioned purposes.

• Personal data of the winner may be published in any media and communication media owned by Insud Pharma, included but not limited to social networks, websites, digital or printed material, or any other platform related to the Programme. This data may include the name and surname of the winner and, in case of joint participation, the name and identification details of the company or group.
• Personal data will be processed for the term of the Programme, and once it has ended, will remain blocked for the limitation period of any legal actions that may be enforceable hereinafter.
• Participants may at any time obtain further information regarding the processing of their personal data, as well as exercise their rights of access, rectification, objection, erasure, limitation and portability contacting Insud Pharma to the address established in these legal bases (Manuel Pombo Angulo street, 28 3ª planta, 28050 Madrid, Spain), or through e-mail at dataprotection@insudpharma.com, providing their identity and indicating the right to be exercised. Participants can contact Insud Pharma’s Data Protection Officer at the above-mentioned address. In addition, Participants can also lodge a claim before the Spanish Data Protection Agency (www.aepd.es) or relevant supervisory authority.

10. ACCEPTANCE OF THESE LEGAL BASES
    • Participation in the Programme requires full and express acceptance of these legal bases. Participants will be subject to these legal bases and any decision that on their basis may be adopted by Insud Pharma for the correct development of the Programme. These legal terms bases will be available on the Programme Website https://insudpower.com and must be accepted by Participants at the time of their registration in the Programme.
11. LIMITATION OF LIABILITY
    • Insud Pharma shall not be liable for any damages, loss or disappointment suffered by any Participant resulting from participating in the Programme or accepting the awards, as well as for his/her disqualification in case of non-compliance with these legal bases.
    • Insud Pharma will be responsible for ensuring, except for force majeure reasons, the proper development of the Programme and functioning of the Programme Website, avoiding technical inconvenience and any other actions that may limit and / or partially interrupt the use thereof by Participants. However, Insud Pharma is not responsible for the interruption or circumstances beyond its control.
12. APPLICABLE LAW AND JURISDICTION
    • These legal bases must be interpreted and governed in accordance with Spanish legislation. For any dispute arising from the existence, access, use or content of the bases, the participant and Insud Pharma expressly renounce any other jurisdiction that corresponds to them, and must be submitted to the jurisdiction and exclusive jurisdiction of the courts and courts of Madrid, Spain.
